Important clauses which may limit our responsibility, place an obligation on you to indemnify us, involve an acknowledgement of any fact or involve some risk for you will be in bold and italics. You must pay special attention to these clauses.
1. INTRODUCTION
1.1. The Tropika social media competition (“Competition”) is being run by Clover S.A Proprietary Limited, Registration Number 1994/001064/07 (“Organiser/we/us/our”).
1.2. The Competition consists of a realty television show (“Programme”), to take place in the Republic of South Africa (“South Africa”) and, depending on how far in the programme a participant gets to, the island of Zanzibar (“Zanzibar”). The Programme shall consist of various episodes in which those entrants selected to participate compete in challenges and/or tasks (some of which may be physical challenges and/or tasks), with participants being eliminated from the Competition from time to time.
1.3. Each person entering the Competition (“participants/entrants/you/your”) and/or accepting any prize in terms of the Competition, agrees and accepts that the Competition rules as set out in these terms and conditions (“Rules”) is binding on him or her. It being further acknowledged that the Organiser may provide for additional rules for the Competition, including without limitation any rules applicable during the filming of the Competition and which rules shall be binding on the entrants.
1.4. These Rules are specifically in relation to the audition process in connection with the Competition. Copies of these Rules are available online at clover.co.za (“Website”) or at Clover Park, 200 Constantia Drive, Constantia Kloof.
2. COMPETITION PERIOD
2.1. The time to enter the Competition (to stand a chance to be selected to participate in the Programme) commences at 07:00 on 1 March 2024 and will close at 23:59 on 5 May 2024 (“Competition Period”). No entries/auditions received after the end of the Competition Period will be considered.
2.2. However, the period of the Programme and thus the period in which the participants shall be competing in the Programme shall be determined in the sole discretion of the Organiser and as communicated to the participants selected from time to time.
3. WHO CAN ENTER
3.1. In order to be eligible to enter the Competition you must:
3.1.1. be a legal, permanent resident of the Republic of South Africa (“South Africa”);
3.1.2. be in possession of a valid identity document with a 13 (thirteen) digit identity number;
3.1.3. be 18 (eighteen) years old or older on the date you enter;
3.1.4. be a natural person; and
3.1.5. have a valid passport, which shall remain valid for at least 6 (six) months from May 2024 and have at least 2 (two) clear pages;
3.1.6. not be barred from travelling to any international country; and
3.1.7. not be barred or disqualified by any authority from taking delivery and transfer of the prizes to be won during the Competition or any portion thereof.
3.2. Notwithstanding clause 3.1, you are not eligible to enter this Competition if:
3.2.1. you are a director, member, partner, employee, agent or consultant of the Organisers, or any other person who directly or indirectly controls or is controlled by the Organisers;
3.2.2. you are an immediate family member of any of the persons specified in clause 3.2.1; or
3.2.3. you are a supplier of goods or services in connection with the Competition.
4. HOW TO ENTER
4.1. GENERAL
4.1.1. In order to be considered as a contestant of the Competition, entrants need to, at their own cost and expense, record a video audition showing the Organisers (and the judges referred to below) who they are, what they will bring to the Competition/Programme and why they to participate in the Competition/Programme (“Audition”).
4.1.2. The Audition must then be uploaded, at the cost and expense of the entrant, to the following social media platforms:
4.1.2.1. X;
4.1.2.2. TikTok; and/or
4.1.2.3. Instagram; and/or
4.1.2.4. Facebook,
making use of #Tropika as well as the tag @MyTropika.Should such correct hashtag not be used and Tropika not be tagged when the Audition is uploaded onto any of the named social media platforms, it will not be a valid entry
4.1.3. You acknowledge that the Audition videos submitted by you for purposes of the Competition may be used by the Organisers in any manner or form whatsoever including, without limitation, to use such material for publicity purposes and/or to broadcast as part of the Competition. You further agree not to remove your Audition from the relevant social media platforms, unless requested to do so by the Organizers and acknowledge that the Organizers can require you to remove and/or otherwise itself remove any post/Audition in its sole discretion and you agree to comply with such requirements.
4.1.4. By participating the Competition and Audition process (A) you agree that you do so at your own risk and (B) you agree to be filmed, recorded and/or photographed and acknowledge and agree that the Organisers will own the copyright to any such material which may include your participation and Audition, free from any royalty or fee due to you. You irrevocably agree to the Organisers using, editing, broadcasting, publishing and/or exploiting your contribution in any media in perpetuity throughout the world without any royalty or fee due to you as a result thereof.
4.1.5. The cost of submitting auditions via any of the social media platforms mentioned above is for the account of the entrant.
4.2. SELECTION OF CONTESTANTS
4.2.1. The Organisers will select approximately 30 participants from the Auditions submitted on the various Tropika social media channels, in its sole and unfettered discretion.
4.2.2. The selected participants will be invited to attend a final audition and vetting process with the judges in Johannesburg or in Cape Town at the Organisers’ elected dates, times and locations.
4.2.3. Participants can be called back for another audition at the Organizers desired date, time and venue.
4.2.4. The Organisers shall pay all cost (flights, accommodation and transport) of the selected participants to and from the selected venue for the Auditions, excluding airport transfers.
4.2.5. The Organisers will appoint a panel of judges, in their sole and unfettered description, who will select 1 (one) person to be invited to compete in the Competition per celebrity contestant chosen by the Organisers (“Celebrity”) from the group of final participants (“Contestants”). Each Contestant will be invited to participate in the Competition with the Celebrity.
4.2.6. The Contestants will be determined in the sole and unfettered discretion of the judges.
4.2.7. The Organisers reserve the right to select a different participant should any selected participant for any reason be unable or unwilling to attend any of call-back sessions, or for any reason fail to reply timeously to any such invitation and the Organisers and/or their agents shall not be liable for any claims as a result of withdrawing its invitation.
4.3. PARTICIPATION IN THE COMPETITION
4.3.1. Should you be invited as a Contestant for the Competition, you will be provided with a Contestant Participation Agreement that will stipulate the specific terms and conditions for participation in the Competition. Your participation in the Competition will be subject to you agreeing to and signing the Contestant Participation Agreement.
4.3.2. The Competition is provisionally scheduled to be filmed between 1 and 20 June 2024 (dates to be confirmed and are within the sole discretion of the Organizer) .
4.3.3. The Contestants who are selected by the Organisers from the Auditions will compete with a Celebrity – to stand a chance to win a R1 000 000.00 (One Million Rand) cash prize during the Competition, which prize will be shared on a 50/50 bases between the two persons making up the winning pair.
4.4 COMPLIANCE AND CONSENTS
4.4.1. By selecting to make yourself available to be considered for the Competition, you confirm and agree that:
4.1.1.1. you shall comply with all applicable laws in relation to the Competition and your participation therein (including in terms of any traveling laws and regulations); and
4.4.1.2. you shall comply with protocols and/or policies of South Africa, Zanzibar, the Organiser and/or any third-party contractor of the Organiser in connection with the Competition (including any health and safety policies and protocols in relation to COVID-19),
and the Organiser shall not be liable for any compliance by you with the above.
4.4.2. By selecting to make yourself available to be considered for the Competition, you consent and agree to your name, image, voice, Audition and all content of your audition and contact details being collected, used, stored and processed by the Organisers for purposes of the Competition as well as its audition process and marketing activities of the Organiser.
4.4.3. You acknowledge that the Organiser may use audition material for publicity purposes and/or to broadcast as part of the Competition and/or marketing by the Organiser. By submitting your audition and/or participating in the Competition you acknowledge that the Organiser will own intellectual property rights (including copyright) to any such material which may include your participation (“your contribution”). You irrevocably consent and agree to the Organiser using, editing, broadcasting, publishing and/or exploiting your contribution in any media in perpetuity throughout the world and without any compensation to you. By submitting your audition and/or participating in the Competition, you waive any intellectual property rights to your contribution to and in favour of the Organiser (including any moral rights to your content).
5. FORMAT OF THE COMPETITION AND CELEBRITIES
5.1. The format of the Competition, how entrants selected to participate in the Competition shall compete in the Competition, the tasks and challenges involved and whether or not a competition entrant competes by him/herself or in a pair or in a team shall be determined in the sole discretion of the Organizer from time to time (“Programme Format”).
5.2. Entrants who are determined by the Organiser, in its sole discretion, from the auditions to compete in the Competition may, in the sole discretion of the Organizer, compete by themselves, together with one or more other entrants or may compete with a celebrity contestant that is selected at the sole discretion of the Organiser (“Celebrity”).
5.3. By electing to participate in the Competition, you agree that the selection of the Celebrity and/or any other entrants to compete with you in the Competition and/or a particular task and/or challenge is at the sole discretion of the Organiser and that you will not be entitled to select which entrant and/or Celebrity you participate with (if any).
5.4. Should any Celebrity and/or entrant be paired with another entrant and/or Celebrity the pair shall be referred to as a “Competing Pair”.
5.5. Should any Celebrity and/or entrant be grouped in a team of at least 3 people, the group shall be referred to as a “Competing Group”.
5.6. From time to time, the Organiser may determine, in its sole discretion, to select additional Celebrities to participate with the other entrants, Celebrities, Competing Pairs and/or Competing Group (“Additional Celebrities”) in special filming sessions and/or particular challenges (“Special Sessions”).
6. PRIZES
6.1. The prizes that an entrant stands a chance to win in the Competition may, at the discretion of the Organizer consist of:
7.1.1. special prizes that the Organiser may, from time to time and in its sole discretion, elect to form part of the Competition. It being acknowledged by you that these are discretional prizes and the Organiser provides no guarantee that such special prizes shall be offered during the Competition (“Special Prizes”); and
7.1.2. a shared cash prize of R1 000 000.00.
6.2. The following is applicable in relation to the winning of any prizes set out in clause 10.1:
6.2.1. the shared cash prize of R1 000 000.00 shall be shared equally between the persons making up the overall and final winning Competing Pair of the Competition;
6.2.2. depending on the Programme Format applicable, as determine by the Organizer, Special Prizes (if any) may in the sole discretion of the Organizer:
6.2.2.1. be available to be won by any Celebrity, Additional Celebrity and/or participating entrant individually rather than being shared with another Celebrity, Additional Celebrity and/or participating entrant; or
6.2.2.2. be available to be won by a Competing Pair and/or a Competing Group (as the case may be), in which case the Special Prize shall be shared equally between the persons making up the Competing Pair and/or Competing Group.
6.3. Should any Additional Celebrity be elected to participate in Special Sessions, they may at the discretion of the Organizer be entitled to share in any Special Prizes that may be won by the Competing Pair and/or Competing Group the Additional Celebrity was participating with.
6.4. Any taxes associated with the receipt of any prizes shall be for the account of the winners.
7. DISQUALIFICATION
7.1. The Organiser reserves the right to disqualify any participant from the Competition for any reason whatsoever, including without limitation for breaches of these Rules and/or the Contestant Participation Agreement and/or any other rules determined by the Organiser from time to time.
7.2. You further acknowledge you may be eliminated from the Competition in terms of the Programme Format and relevant rules applicable.
8. GENERAL TERMS
8.1. The Organiser may in its sole discretion amend these Rules at any time, without notice, and such amendment(s) shall be deemed to have taken effect from the date of publication of the revised Rules on the Website.
8.2. The Organiser will interpret the Rules in their sole discretion and reserve the right to amend the Rules at any time should it be deemed necessary in the sole and unfettered discretion of the Organisers.
8.3. If you are not eligible to enter the Competition in terms of these Rules, you will forfeit any Prize that may be allocated to you in terms of this Competition. The Organisers reserve the right to request you to provide necessary proof that you have met the eligibility requirements. Should you fail to provide such proof within the time period provided for in these Rules, you will be disqualified and any prizes will be forfeited and returned if applicable.
8.4. The Organiser may collect, store and use any personal information of entrants and/or other participants for communication, marketing or statistical purposes. By entering the Competition, you expressly consent to the aforesaid use.
8.5. In the event of a dispute, the decision of the Organiser will be final and binding and no correspondence and/or discussion will be entered into. In this regard and for further clarity, the Organiser shall be entitled to deal with such disputes (or any failure by participants to follow the Rules) in their sole discretion, including that the Organiser shall be entitled, in addition to any other rights which the Organiser may have in terms of these Rules and/or the general competition rules, to immediately disqualify participants from the Competition
8.6. By entering the Competition and/or accepting any Prize, the entrants, users and/or Winners hereby indemnify, release and hold harmless the Organiser (including its subsidiaries, holding companies and affiliates), its directors, employees, agents, suppliers and contractors (the “Organiser Parties”) from and against any actions, claims and/or liability for injury, loss, damage, expense, claim and/or amount of any kind resulting in whole or in part, directly or indirectly, from participation in the Competition and/or the use, acceptance or possession of a Prize, and/or participation (or non-participation) in a Prize-related activity.
8.7. The Organiser reserves the right to terminate the Competition at any time with immediate effect. If this is the case, the Organiser will provide a notice on the Website. It shall be the responsibility of entrants to review such Website in this respect. In such event, all entrants hereby waive any rights which they may have against any of the Organiser Parties and acknowledge that they will have no recourse or claim of any nature against the Organiser Parties.
8.8. The Organiser is not liable for any technical failure that may result in an entry not being successfully submitted and/or selected.
8.9. Any Prize is accepted by a Winner at his/her own risk and the Organiser is not liable, at any time, for any defect in the Prize.
8.10.Where relevant:
8.10.1. if a Winner does not accept the Prize or is deemed not to accept the Prize;
8.10.2. if an entry is not valid for whatever reason;
8.10.3. if a Winner has breached these Rules;
8.10.4. if a Winner does something that amounts to hate speech, the incitement of violence, is disparaging, discriminatory, harmful and/or unlawful and/or which, in the sole discretion of the Organiser does or may bring the Organiser Parties, Tropika and/or the Competition into disrepute; and/or
8.10.5. if a Winner renounces the Prize or we deem such Winner to have renounced the Prize, we reserve the right to declare the Prize forfeited and/or choose a new Winner.
8.11. Nothing in these Rules is intended to or must be understood to, unlawfully restrict, limit or avoid any rights or obligations, as the case may be, created for either the entrants or the Organisers in terms of the Consumer Protection Act, 68 of 2008.
8.12. The duration of this Competition may also be extended or curtailed at the sole discretion of the Organiser. If this is the case, the Organiser will provide notice of this on the Website.
